Terms of Service

SECTION 01 | Acceptance of Terms

By creating an account, accessing, or using the WeWa.Life platform or Mimi AI guide (the “Service”), you agree to be bound by these Terms of Use and our Privacy Policy (incorporated herein by reference). If you access the Service through an Institution, your use may also be subject to that Institution’s policies; these Terms govern your relationship with WeWa.Life specifically. If you do not agree, you may not use the Service.

SECTION 02 | Eligibility

The Service is for students enrolled at accredited colleges and universities. You must be: (a) at least 13 years of age (or the minimum age of digital consent in your jurisdiction, whichever is higher); (b) enrolled at a participating institution or a direct registrant; and (c) legally capable of entering a binding agreement. Users under 18 represent that a parent or guardian has consented. Institutions deploying WeWa.Life for minors are responsible for obtaining parental consent as required by COPPA (15 U.S.C. § 6501 et seq.).

SECTION 03 | The Service & Mimi

WeWa.Life provides Mimi, an AI-powered wellness guide supporting college students through Academic, Social, and Emotional Regulation pathways, drawing on CBT and ACT frameworks.

⚠️  Mimi is a wellness guide, not a licensed therapist or medical provider. The Service does not constitute mental health treatment, medical advice, crisis intervention, or clinical care. Students in crisis should contact the 988 Suicide and Crisis Lifeline (call or text 988), their campus counseling center, or emergency services.
WeWa.Life reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

SECTION 04 | Acceptable Use

You agree to use the Service only for personal wellness support. You agree not to: circumvent or interfere with Mimi’s safety protocols; harass, threaten, or harm any person; submit false information to manipulate Mimi’s responses; share credentials or use another’s account; violate applicable law; scrape or systematically extract data; or attempt unauthorized system access. WeWa.Life may suspend or terminate accounts that violate these Terms, with or without prior notice.

SECTION 05 | Institutional & FERPA-Specific Provisions

School Official Designation: WeWa.Life acts as a “school official” under 34 C.F.R. § 99.31(a)(1)) with legitimate educational interest limited to providing and improving the Service.

Institutional Data Sharing: Institutions may share limited identity data (name, email, enrollment status) for authentication only. WeWa.Life is bound by FERPA once received.

No Clinical Record Creation: Mimi conversations are wellness sessions, not clinical encounters; they do not create mental health treatment records under FERPA or HIPAA.

Aggregated Reporting: De-identified usage reports may be shared with institutional administrators. Individual students are never identified.

Student FERPA Rights: You retain all FERPA rights including inspection, correction, and complaints to the U.S. Dept. of Education SPPO. Contact ferpa@wewa.life.

Emergency Disclosure: WeWa.Life may disclose information under FERPA’s health & safety emergency exception (34 C.F.R. § 99.36) where there is imminent risk to safety. By using the Service you acknowledge and consent to this provision.‍

SECTION 06 | Intellectual Property

The Service, including Mimi’s AI architecture, content, and design, is owned by WeWa.Life, Inc. and protected by applicable copyright, trademark, and other laws. You retain ownership of content you submit. By submitting content, you grant WeWa.Life a limited, non-exclusive license to use it solely to provide and improve the Service (de-identified and aggregated only for improvement purposes). You may not reproduce, distribute, display, or create derivative works of the Service without prior written consent.

SECTION 07 | Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WeWa.Life does not warrant that the Service will be uninterrupted or error-free, that Mimi’s responses will be accurate or appropriate for your specific circumstances, or that the Service will meet your individual wellness needs.

SECTION 08 | Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEWA.LIFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON MIMI’S GUIDANCE IN LIEU OF PROFESSIONAL MENTAL HEALTH TREATMENT.

‍ Total liability shall not exceed the greater of:

1. fees paid to WeWa.Life in the preceding 12 months, or
2. one hundred U.S. dollars (00). Some jurisdictions do not allow these limitations; they may not fully apply to you.

SECTION 09 | Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall first be subject to good-faith negotiation; if unresolved, submitted to binding arbitration under the American Arbitration Association rules.

Class Action Waiver: You and WeWa.Life each waive any right to participate in a class action lawsuit or class-wide arbitration. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for intellectual property or imminent harm matters.

Material changes will be communicated at least 30 days in advance. Continued use constitutes acceptance.
